Trademark Licensing Process in India

Trademark licensing in India is governed by Section 49 of the Trade Marks Act, 1999. Although the Act does not explicitly mention the term "license," provisions regarding "registered users" effectively cover the licensing process. The process involves the following steps:

1. Drafting the License Agreement

The first step in the trademark licensing process is drafting a comprehensive license agreement. This agreement should cover the following:

- Scope of the license (exclusive or non-exclusive)
- Duration of the license
- Geographic area where the license is valid
- Types of goods or services for which the trademark can be used
- Quality control requirements or restrictions related to the trademark’s use

2. Register the License with the Trademark Office

While not mandatory, it is highly recommended to register the trademark licensing agreement with the Trademark Registry. To do so, you must file an TM-U application with the Registrar of Trademarks along with the following documents:

- A copy of the license agreement
- An affidavit from the trademark owner confirming the relationship with the licensee, the control over the trademark's use, and the quality of goods/services
- Power of attorney (if applicable)
- Other documents as required by the Registrar

3. Cancellation of registered user or licensing agreement

Cancellation of Registered User or Licensing Agreement Under Section 50 of the Trade Marks Act, 1999, the registration of a registered user or licensee may be canceled or modified based on specific grounds. These include:

The licensee using the trademark in a way that contradicts the agreed terms.
- Failure of the trademark owner or licensee to disclose crucial information at the time of registration.
- Lack of enforcement of quality control measures outlined in the agreement.
- Significant changes in circumstances since the registration date that impact the agreement.

Before canceling a registration, the Act ensures that both parties receive due notice and an opportunity to present their case. To avoid cancellation, it is essential that trademark owners actively oversee compliance with the agreement and maintain control over the quality of goods or services associated with the trademark.

Rights of a Trademark Licensee in India

A registered user or licensee of a trademark has the following rights:

- Filing a Trademark Infringement Case: A licensee can file a trademark infringement case in their own name, as if they were the trademark owner. However, before doing so, the licensee must notify the trademark owner, who has one month to act. If the owner does not take action, the licensee can proceed with the case.

- Use of the Trademark: The licensee is permitted to use the trademark per the terms specified in the license agreement.

However, a trademark licensee cannot assign the trademark to third parties without the trademark owner's consent. Additionally, an unregistered trademark user cannot file a case for infringement.
